1. Akkoord met voorwaarden
These Terms of Service ("Terms") constitute a legally binding agreement between you and Smart PEPPOL ("we", "our", or "us") governing your access to and use of our invoicing platform, website, and mobile applications (collectively, the "Service").
Important: By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.1 Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is intended for business use and is not available to consumers for personal purposes.
3.2 Account Creation
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Organization Accounts
You may create or join an organization within the Service. Organization administrators are responsible for managing user access and permissions within their organization.

Subscription Plans
Access to certain features may require a paid subscription. Features and pricing are described on our website.
Payment Terms
Fees are billed in advance monthly or annually. All fees exclude VAT and applicable taxes.
Automatic Renewal
Subscriptions renew automatically unless cancelled before the renewal date via account settings.
Refunds
Fees are non-refundable except as required by law. Cancelled subscriptions remain active until period end.

5.1 Acceptable Use
You agree to use the Service only for lawful business purposes and in compliance with these Terms and our Acceptable Use Policy. You are solely responsible for the content of documents you create, send, or store using the Service.
5.2 Compliance with Laws
You are responsible for ensuring that your use of the Service complies with all applicable laws, including Belgian and EU invoicing requirements, tax regulations, and data protection laws.
5.3 PEPPOL Network
When using the PEPPOL transmission features, you agree to comply with PEPPOL network rules and requirements. PEPPOL transmissions are subject to validation and may be rejected if documents do not meet technical or legal requirements.
6. Intellectueel eigendom
Our Rights
The Service, including its design, features, and underlying technology, is owned by Smart PEPPOL and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your Content
You retain ownership of the content you create and upload to the Service (invoices, client data, etc.). By using the Service, you grant us a license to process, store, and transmit your content as necessary to provide the Service.

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Your responsibility: When you process personal data of your clients or suppliers through the Service, you act as the data controller for that data. You are responsible for ensuring you have a lawful basis to process such data and for complying with applicable data protection laws.

Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We provide customer support through our ticketing system. Support availability and response times may vary based on your subscription plan.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Beperking van aansprakelijkheid
Maximum Liability Cap
Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
To the maximum extent permitted by law, Smart PEPPOL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless Smart PEPPOL and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
12. Beëindiging
By You
You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, you will lose access to the Service and your data.
By Us
We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We may also terminate with 30 days' notice.
Effect
Upon termination, your right to use the Service ceases immediately. We retain data as required by law (invoices must be retained for 7 years under Belgian law).
13. Wijzigingen in voorwaarden
We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the modified Terms.
14. Toepasselijk recht en geschillen
These Terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Belgium.
EU Consumer Rights: If you are a consumer within the European Union, you may also submit disputes to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. Algemene bepalingen
Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Smart PEPPOL.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
